It includes liability as a de facto director or a shadow director; liability for breaching loan facility commitments; liability for misleading and deceptive conduct in relation to borrowers, guarantors and purchasers; liability for improper exercise of remedies, in particular the power of sale and an entry into possession; liability under environmental protection legislation; liability as a constructive trustee; and preventative measures. -- Course Website
