This unit aims to enable students to understand the legal framework that is applicable to a company and the people involved with companies. The limited liability company is the most important form of legal association in use in the commercial world. The law governing the formation and dissolution of companies and regulating their activities while in existence is largely contained in the Corporations Act 2001 (Commonwealth). The provisions of the legislation are interpreted and supplemented by an extensive body of case law. The unit also covers the potential liability of auditors, receivers and liquidators to the company for breach of their duties. -- Course Website
