This unit provides a general overview of the framework of corporate governance in Australia, with emphasis on the public company. It examines at an advanced level the powers and duties of directors, managers, controllers and auditors. Special attention is given to the law relating to misuse of corporate opportunities; disclosure of interests in contracts; property and office; and loans to directors. Issues in corporate governance covered include the role of the Australian Stock Exchange; shareholder activism; self-regulation of corporations; the role of the institutional investor; and current reform proposals. -- Course Website
Prerequisites: Entry is normally restricted to students who have passed LAWS3322 Corporations Law but in special cases the Dean, having regard to the recommendation of the unit coordinator, may permit other students to enrol in the unit.
