This unit is designed for students who have not studied Australian corporate law in a law school environment. It can be undertaken as a single unit. It also provides the necessary background for students wishing to undertake any of the other corporate law units in the LLM program, all of which are specialised and assume familiarity with Australian corporate law. The unit will begin by examining the history and development of Australian corporate law and theories of corporate regulation. It will then move on to examine both the internal governance of the corporation (including directors' duties and shareholders' remedies) and the relationship between the corporation and the outside world. -- Course Website
